MEMORANDUM OF AGREEMENT

      This Memorandum of Agreement made and entered into this day of ___________, 20 ___ at _________, Philippines by and between:

The UNIVERSITY OF THE PHILIPPINES LOS BANOS FOUNDATION, INC. with postal address at UPLBFI Bldg., Lanzones St., UPLB, College, Laguna, Philippines represented by its Executive Director, DR. CECILIO R. ARBOLEDA, hereinafter referred to as ��UPLBFI��

WITHNESSTH

WHEREAS, the (insert here mandate of the first party)

WHEREAS, UPLBFI has been established mainly to provide assistance to UPLB in pursuing its teaching, research, extension and other programs;

WHEREAS, by virtue of the Omnibus Agreement signed between UPLB and UPLBFI, the latter can tap the physical and human resources of UPLB to carry out its mandate;

WHEREAS, the PARTIES have commonly recognized the need for joining efforts in the pursuit of their respective institutional objectives and concerns.

NOW THEREFORE, in consonance with the above premises, the PARTIES have agreed the following:

1. PROJECT 

2. RESPONSIBILITIES OF THE PARTIES 
   

1. UPLBFI  in collaboration with the (insert the implementing UPLB unit) shall: 
   

1. Conduct the project in accordance with the attached approved project proposal set forth in Attachment A which is made an integral part of this agreement; 
   

2. Manage the funds remitted by (name of the funding entity) according to the budget set forth in Attachment B, which is made an integral part of this agreement; 
   

3. Submit progress and final technical and financial reports after the completion of the project. 
   

2. (The funding entity) shall: 
   

1. Provide the necessary grant amounting to  ___________________ to finance the project provided that ________ (____%) of the total contract cost shall be given to UPLBFI as administrative management cost charges; 
   

2. Release the funds according to the schedule of payments and outputs set forth in Attachment C which is made an integral part of this agreement; 
   

3. EFFECTIVITY 
   

This agreement shall take effect on the date of its signature and shall remain enforce for (duration of project), unless otherwise modified or amended by mutual consent of parties concerned. Provisions in this Memorandum of Agreement may be modified, altered, or supplemented subject to the mutual agreement of both parties.

4. INTELLECTUAL PROPERTY RIGHTS

The signatories to this agreement shall jointly own whatever information, technology or product to be generated by this undertaking. They shall both have equal access and use of the data collected from the experimental work for the advancement of scientific research and other productive undertaking. However, any data or available information or publication generated from this work cannot be used by third parties without the mutual written consent of the contracting parties.

5. TERMINATION

This Agreement may be terminated by both parties upon mutual agreement or by either party if the other party violates any provisions of this agreement.
